Five years after SOX, sky hasn't fallen

Sarbanes-Oxley will be 5 years old on Monday, and by many measures, life in corporate America has never been better.

Critics - including the U.S. Chamber of Commerce and the Business Roundtable - once loudly complained that this post-Enron raft of accounting regulations would destroy America's competitive position, discourage initial public stock offerings, thwart mergers and acquisitions, and stifle the U.S. stock market.

Somehow just the opposite has happened. IPOs and M&As are thriving. Investment banks are posting record earnings. CEOs and other corporate executives are paying themselves more than ever. Shareholder lawsuits are on the decline. The U.S. economy has grown every quarter since the law was signed, and the Dow Jones industrial average has doubled from 7,000 when the act was being drafted to roughly 14,000 today.
